Terms of Service
Public Beta Notice.
The Services are offered as a beta/pilot. Features may be incomplete, changed, or withdrawn without notice; availability and response times may vary; and known/unknown issues may exist. Beta Services are provided as‑is without commitments to uptime, support levels, feature delivery, or data permanence. This notice does not limit any non‑waivable rights you may have under applicable law.
1) What We Do (No Medical Care)
Rovi is a technology-enabled care coordination and scheduling service. We help you find in-network providers, understand options and estimated prices, and, with your authorization, book appointments and coordinate related logistics. Rovi is not a medical group, clinic, insurer, insurance broker, plan administrator, or licensed healthcare navigator, and does not practice medicine, nursing, or provide clinical advice or treatment. All clinical decisions are between you and your clinician. In an emergency, call 911 or go to the nearest emergency department.
We do not guarantee that any particular provider, facility, price, appointment time, or outcome will be available, accurate, or suitable for your needs.
Nature of Our Services.
We provide two types of services:
Care Navigation Services: We help you find providers, compare options, understand pricing, and coordinate scheduling. We connect you with independent healthcare professionals who are solely responsible for any clinical care they provide. We do not employ these professionals, supervise their medical judgment, or guarantee their availability, quality, or outcomes.
Non-Clinical Services: We provide savings opportunities, benefits information, and care recommendations that do not involve direct clinical care. These services give you access to information you may use in planning your healthcare. Non-Clinical Services are not a substitute for primary care, and no physician-patient relationship is created by using these services.
Limitations You Accept.
By using our Services, you acknowledge and agree that:
- The information you receive is for informational purposes and may be incomplete
- Our Services are not intended to replace a full medical evaluation or visit with a healthcare provider
- When we provide recommendations without a physical examination, we may not have all information that would be obtained through an in-person visit
- The absence of a physical examination may affect our ability to fully understand your situation
- You should discuss any information from our Services with your treating healthcare provider
Prohibited Uses.
You may not use the Services or any information obtained through the Services in connection with any legal dispute, including litigation, arbitration, disability benefits claims, worker's compensation claims, or malpractice claims.
2) HIPAA Role; PHI Handling
Rovi is not a HIPAA Covered Entity. In some enterprise arrangements, we act as a Business Associate under a Business Associate Agreement ("BAA") when we handle Protected Health Information ("PHI"); in those cases, the BAA governs our handling of PHI. For direct‑to‑consumer use, we may receive your health information with your consent to perform scheduling and coordination on your behalf; our Privacy Policy explains how we handle such information.
We may ask you to sign a HIPAA authorization directing a provider or plan to disclose information to us. You can revoke an authorization following the instructions in that document; revocation does not affect disclosures already made.
Order of Precedence. If you are served under an enterprise arrangement with a signed BAA, that BAA governs our handling of PHI for that arrangement. For direct‑to‑consumer use where no BAA applies, these Terms and our Privacy Policy control.
3) Eligibility & Accounts
You must be 18 or older to use the Services. We do not provide services to minors under 18. If you use the Services to coordinate care for another adult, you represent that you have appropriate legal authority and that all information you provide is accurate. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
Account Security. You agree to promptly notify us of any unauthorized use of your account or security breach by emailing contact@rovihealth.com. In no event and under no circumstances shall we be held liable to you for any liabilities or damages resulting from or arising out of your use of the Services or your release of your access credentials to a third party.
4) Your Authorization to Act on Your Behalf
By using the Services, you authorize Rovi to act as your limited agent to: (a) contact providers and facilities; (b) inquire about availability, logistics, and pricing; (c) submit information you provide and receive confirmations; and (d) book, reschedule, or cancel appointments only with your explicit approval or request.
You are responsible for complying with provider requirements and for any no‑show, late‑cancellation, or rescheduling fees a provider may charge.
Revoking Authority. You may revoke this authorization at any time by emailing contact@rovihealth.com. Revocation does not affect appointments already scheduled or actions already taken.
You may request to interact with a human at any point; certain situations are automatically escalated to a human.
5) Communications & Electronic Records
You agree that we may send you notices and messages electronically, including by SMS text, email, and on our website. You consent to the use of electronic records and signatures.
Electronic Signatures.
You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing. You agree that your use of a keypad, mouse, touchscreen, or other device to click a button, checkbox, or link constitutes your legally binding signature, acceptance, and agreement as if you had physically signed a document in writing. You agree that no certification authority or third-party verification is necessary to establish the validity of your electronic signature, and the lack of such certification or verification will not affect the enforceability of your signature or any resulting contract between you and us.
SMS Terms.
By providing your phone number, you expressly consent to receive text messages and phone calls from or on behalf of Rovi at the phone number you provide. The number of text messages will depend on the frequency of your use of the Services. Message frequency varies; message and data rates may apply. You can stop receiving text messages from us at any time by texting STOP to the number from which you receive the messages. You may text HELP for assistance.
You acknowledge that text messages and emails may be unencrypted and there is a risk that such messages and emails will be intercepted because they travel over networks that we do not control. As such, we cannot guarantee the security or confidentiality of messages sent by text or email. By providing us with your phone number and/or email address, you agree that we may communicate with you by text message and/or email, and these communications may include personal health information, despite these risks. In an emergency, call 911 or go to the nearest emergency department.
6) AI‑Assisted Features & Automated Communications
We use software tools—including rules‑based automations and AI‑assisted agents—to help surface provider options, draft messages, and streamline scheduling. These tools do not provide medical advice and do not replace your clinician. You may request to interact with a human at any point.
In an emergency, do not rely on AI features—call 911 immediately.
How AI is used. AI‑assisted features may summarize your preferences, match potential providers, generate draft messages for your review, or extract non‑clinical details from documents you upload.
Data handling & vendors. We contract with third‑party service providers (including cloud infrastructure, health data connectivity platforms, and AI technology vendors) to process data on our behalf. Where available, we disable model training and instruct vendors not to use your information to train their models. We do not permit vendors to use your data for their own advertising or to sell your data.
Accuracy & limitations. AI‑generated content may be incomplete, incorrect, or out of date. It is provided for informational, non‑clinical purposes only. Do not rely on AI‑generated content for diagnosis or treatment decisions.
7) Information Sources & Insurance Disclaimers
We compile information from third‑party sources (e.g., provider directories, payor networks, price transparency files). Information may be incomplete, delayed, or inaccurate. Insurance eligibility, network status, benefits, and final patient responsibility are determined by your plan and the provider; estimates are not guarantees. Contact your health plan and provider to confirm coverage before receiving care.
Provider Network Status. We do not guarantee that providers we list, recommend, or notify you about are currently in-network with your health plan. Provider network participation can change without notice. You should contact the provider directly before scheduling any appointment to verify current network status and coverage.
Administrative Service Only. Rovi provides administrative support to help you find and understand healthcare options. We are not an insurance producer, broker, agent, licensed navigator, or plan administrator. We do not guarantee the accuracy of insurance or benefit information, as it comes from third-party sources and is subject to change. Your plan and provider determine final coverage and patient responsibility.
Providers and facilities are independent professionals not employed by Rovi. Inclusion in our results does not constitute endorsement.
8) Fees & Payments
Core consumer care coordination Services are currently provided at no charge. We may introduce fees for existing features or offer new paid features in the future. If we introduce fees for Services you currently use, we will provide at least 30 days' advance notice and the opportunity to opt out before any charges apply. For new paid features, we will disclose pricing before you opt in.
Fees paid to Rovi are separate from amounts owed to providers or facilities for medical services. We may use third‑party payment processors; your payments are subject to their terms. Except where required by law, fees are non‑refundable once a paid feature is initiated.
9) Your Responsibilities
You agree to:
- Provide accurate, current information and promptly update it
- Use the Services only for lawful purposes and in accordance with these Terms
- Comply with provider/facility policies
- Not rely on the Services for medical advice or emergency communications
Prohibited Conduct. You will not: (a) access non‑public areas; (b) circumvent security; (c) scrape or index the Services; (d) upload malware; (e) infringe the rights of others; (f) use the Services to send spam or unlawful content; or (g) reverse engineer the Services, except to the extent such restriction is prohibited by law.
Prohibited Legal Use. You may not use the Services or any information obtained through the Services in connection with any legal dispute, including litigation, arbitration, disability benefits claims, worker's compensation claims, or malpractice claims.
Scheduling Changes; No‑Shows. Provider schedules are outside of Rovi's control. You are solely responsible for any no‑show, late‑cancellation, or rescheduling fees assessed by a provider/facility.
10) Intellectual Property & Feedback
The Services are owned by Rovi or its licensors and are protected by law. We grant you a limited, revocable, non‑exclusive, non‑transferable license to use the Services for their intended purpose. If you submit feedback, you grant Rovi a perpetual, irrevocable, worldwide, royalty‑free license to use it, provided such feedback does not include your Protected Health Information.

11) Third‑Party Services
The Services may integrate with third‑party services (e.g., cloud infrastructure, communications platforms, AI vendors, payment processors, health data connectivity platforms). We may transmit your information to such vendors solely to provide the Services and, where you authorize, to request records from providers or plans.
Third-party health data platforms facilitate connections between your health records and our Services. You may need to create separate accounts with these platforms. We are not responsible for the security, privacy practices, or availability of third-party services.
12) Beta Services
The Services are offered as a beta. Features may be modified, suspended, or discontinued at any time. Beta participation may involve reduced support, limited availability, and data changes or loss. You acknowledge these risks.
13) Your Data Rights
Data Retention. We retain your information for as long as your account is active or as needed to provide Services, comply with legal obligations, and resolve disputes.
Data Access & Portability. You may request a copy of all information we hold about you by emailing contact@rovihealth.com.
Data Deletion. You may request deletion of all your data by emailing contact@rovihealth.com. We will delete your data within 30 days, except where we are required to retain certain information by law. Deletion is permanent and cannot be undone.
Account Closure. You may close your account at any time by emailing contact@rovihealth.com.
14) Term; Suspension; Termination
You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms, pose a risk to the platform or others, or as required by law. Upon termination, you must cease all use of the Services and destroy any materials you obtained from the Services. Sections that by their nature should survive (including IP rights, disclaimers, limitations of liability, indemnification, and arbitration) will survive termination.
Service Territory. The Services are designed for users located in the United States.
15) Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROVI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. ROVI DOES NOT WARRANT THAT THE SERVICES WILL BE ACCURATE, COMPLETE, AVAILABLE, ERROR‑FREE, OR SECURE.

16) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROVI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, GOODWILL, OR DATA. ROVI'S AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED $100, REGARDLESS OF ANY AMOUNTS YOU PAID TO ROVI.
NOTHING IN THESE TERMS LIMITS LIABILITY FOR WILLFUL MISCONDUCT, FRAUD, GROSS NEGLIGENCE, OR PERSONAL INJURY TO THE EXTENT SUCH LIMITATION IS NOT PERMITTED BY LAW.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; THESE MAY NOT APPLY TO YOU.
17) Indemnification
You agree to defend, indemnify, and hold harmless Rovi and its directors, officers, employees, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
18) Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, except where state-specific consumer protection laws grant you greater rights.
Informal Resolution First. Before filing arbitration, the party seeking relief must send written notice describing the dispute and requested relief. If we cannot resolve the dispute within 30 days, either party may commence arbitration.
Binding Arbitration. Any dispute will be resolved by binding individual arbitration administered by JAMS (or, if unavailable, AAA) under its applicable rules, and not in court, except that you and Rovi may bring qualifying actions in small claims court. Class actions and class‑wide arbitrations are not permitted.
Arbitration Procedures. The arbitrator has exclusive authority to resolve disputes regarding arbitrability. The seat of arbitration will be Wilmington, Delaware, unless otherwise required by law.
30‑Day Opt‑Out. You may opt out of arbitration by sending written notice to contact@rovihealth.com within 30 days of your first use stating your name, contact information, and intent to opt out. Opting out will not affect other Terms.
Limitation on Time to Bring Claims. ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE COMMENCED WITHIN ONE YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
19) Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, riots, governmental actions, or internet disruptions.
20) Changes to Terms
We may update these Terms from time to time. If we make material changes, we will provide notice. Your continued use after changes become effective constitutes acceptance.
21) Miscellaneous
Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
Severability; Waiver. If a provision is found unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in effect. Our failure to enforce any provision is not a waiver.
Entire Agreement. These Terms are the entire agreement between you and Rovi regarding the Services.
22) State-Specific Notices

Additional State Rights: Residents of certain states may have additional rights under state consumer protection laws. These Terms do not limit any non-waivable rights provided by your state's laws.
